Billy

Terms of Service

Effective Date: October 5, 2026

Welcome to Billy! Please read on to learn the rules for using our website, applications, and services (collectively, the “Services”).

These Terms of Service (the “Terms”) are a contract between you and The Billy Company (“Billy,” “we,” “our,” or “us”). You need to accept all the Terms to use the Services. Using the Services means you agree to these Terms, which stay in effect while you use the Services. These Terms include what’s on this page and in our Privacy Policy.

The Dispute Resolution section of these Terms explains how any disputes between you and Billy will be handled. It includes an arbitration agreement that requires most disputes to go through binding arbitration instead of court. You can opt out of this arbitration agreement by following the instructions in that section. If you don’t opt out, you’ll need to bring any claims against us individually (not as part of a class action), and you’ll be giving up your right to go to court or have a jury trial.

What is Billy?

Billy is a personal AI agent that learns your preferences and helps you get things done across your apps, accounts, and devices. When you connect your accounts and devices, Billy can read and organize your information, operate your computer and browser, and take actions on your behalf, like sending messages, placing calls, making bookings, and completing purchases, based on your instructions.

In these Terms, “Content” means the information and material you provide to Billy or that Billy accesses from the accounts, apps, devices and services you connect, including messages, documents, audio, call and meeting transcripts, and what Billy remembers about you. “Output” means the responses, summaries, media and other material Billy generates for you. Output is part of your Content.

How Billy Works for You

Your Instructions and Billy’s Actions

When you ask Billy to do something, you authorize Billy to take the steps needed to do it on your behalf, including using the accounts, apps and devices you’ve connected. Actions Billy takes on your instructions (such as sending a message, making a booking, submitting a form or completing a purchase) are treated as your actions, and you’re responsible for them and for their results. Billy may misunderstand an instruction or make a mistake, so review what Billy has done and tell it right away if something isn’t what you intended. Some actions, like sent messages, placed orders and executed trades, can’t be undone, and we can’t reverse them for you. We’re not responsible for losses that result from actions Billy takes on your instructions or within the permissions you’ve given it, except to the extent the law doesn’t allow us to limit that responsibility.

Background Activity

Billy can work in the background, even when you’re not using the app. Within the permissions you’ve given it, Billy may review new information (such as incoming email and notifications), let you know about things it notices, and take steps it expects you’d want, like flagging a scheduling conflict. You can adjust or turn off these features in your settings.

Device Control and Credentials

If you turn on computer and browser control, you authorize Billy to operate your device, apps and browser for you, including in the background while you’re doing something else. If you connect a password manager, you authorize Billy to retrieve and enter the credentials and information stored there (such as passwords, payment cards and identification numbers) when a task needs them. Only connect devices and accounts you own or are allowed to use, and keep them secure. You can turn off device control or disconnect a password manager at any time in your settings. You’re responsible for activity on your devices and accounts that results from permissions you’ve given Billy, and you should tell us right away at support@billylives.com if you think your Billy account has been compromised.

Purchases

Billy can buy things for you using payment details you make available to it. Before spending money, Billy will ask you to set a budget for the task or to confirm the purchase. You’re responsible for purchases Billy makes within a budget you’ve set or that you’ve confirmed, including taxes, fees and shipping. Purchases are made with the merchant, not with us: the merchant’s terms, prices, and return and refund policies apply, and any dispute about an order is between you and the merchant. We don’t process these payments and can’t issue refunds for them. Keep your budgets and payment settings up to date, and contact your card issuer or the merchant if you see a charge you didn’t intend.

Financial and Brokerage Accounts

If you connect a financial or brokerage account, Billy can view account information and, where the account allows it, take actions such as placing trades on your instructions. Billy isn’t a broker, investment adviser or financial planner, and nothing Billy says is investment, tax or financial advice. Investing involves risk, including loss of the money you invest. You decide whether to make any trade or financial transaction, you’re responsible for the results, and your account provider’s terms govern your account. We aren’t responsible for market movements, delays, or errors by your account provider.

Calls and Messages

Billy can call, text and email people for you, such as friends, colleagues or businesses you want to reach. You’re responsible for who Billy contacts and why, and for having any consent the law requires to contact them. You may not use Billy for marketing, sales outreach, fundraising, political messages, bulk or automated messages to people you don’t know, or any communication that would require the recipient’s prior consent under telemarketing or anti-spam laws. Billy identifies itself as acting on your behalf and won’t deny being an AI if someone asks. We may limit, pause or block calls and messages that we believe violate these Terms or our providers’ rules.

Recording and Transcription

Billy can transcribe and summarize calls and meetings you ask it to join or place. Many places require everyone on a call or in a meeting to consent before it is recorded or transcribed. Before you use these features, you must tell everyone involved and get any consent the law requires. You may not use Billy to record or transcribe anyone secretly or where it’s unlawful. You’re responsible for complying with these laws, and you agree to indemnify us for claims that arise from your failure to get required consent.

AI and Accuracy

We hope you’ll find the Services helpful, but please note that given the nature of AI technology, we can’t always guarantee accuracy or appropriateness—or desired outcomes! We aim to help our users achieve their goals, but it’s up to them to review, modify, and decide whether to use any Output. You are responsible for how you use the Services.

Output is for informational purposes only and does not constitute medical, psychological, legal, or other professional advice. You agree not to rely on Output as a substitute for professional advice.

Your Content and Privacy

We’ll treat all personal data we collect in accordance with our Privacy Policy.

Your Content and Output

As between you and Billy, your Content belongs to you. You’re responsible for your Content, and by sharing it with Billy or connecting a source it comes from, you represent and warrant that you have all the necessary rights to do so. To provide you with the Services and their features, we need certain permissions to your Content. Accordingly, for the sole purpose of providing, securing, supporting and improving the Services as described in these Terms and our Privacy Policy, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your Content. This license terminates after your Content is deleted from our systems.

As between you and Billy, you own Output, and we assign to you any rights we have in it. Because Output is part of your Content, the license you grant us and the rest of these Terms apply to it the same way. We keep all rights in the Services and in the technology used to generate Output.

Because of how AI works, Output may not be protected by copyright or other intellectual property rights, and we don’t promise that it is. Output may also be similar or identical to output Billy provides to other users, depending on the inputs you and other users provide, and your rights don’t extend to other users’ output.

You may not use Output for harassment, impersonation, defamatory, discriminatory, or otherwise unlawful or prohibited purposes, or present Output as entirely human-made when it isn’t. You also may not use Output to develop or train AI models that compete with Billy.

Connections and Memory

Billy only uses the accounts, apps and device features you choose to connect or turn on, and you can disconnect them at any time in your settings. After you disconnect a source, Billy stops collecting new information from it; information already collected is handled as our Privacy Policy describes. Billy also remembers things about you, like your preferences, plans and past conversations, to be more helpful. You can ask Billy to correct or forget something, and you can delete your account and your Content from your settings.

How We Use and Protect Your Content

We don’t use your Content to train or fine-tune AI models. We may create information from your Content that has been anonymized or aggregated so it no longer identifies you (“Anonymized Data”). You grant us a perpetual, irrevocable, non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to use Anonymized Data to operate, analyze and improve Billy, including fixing bugs and checking quality, but not to train or fine-tune AI models. Our Privacy Policy explains this in more detail.

Billy runs on AI models from different providers, and you can choose which models Billy uses. When you do, your requests and the Content Billy needs to respond are sent to that provider, or to a provider Billy uses by default or as a backup, to generate a response. Each provider processes that information under its own terms, and different providers handle data differently. Our Privacy Policy describes how we share information with providers, but we’re not responsible for a provider’s own practices.

We limit who at Billy can access your Content. Authorized personnel may access it when needed to operate, secure and support Billy, to investigate misuse, or to comply with the law. We may also disclose information when we believe in good faith that the law, a court order or a government request requires it, or to protect the safety of any person. Our Privacy Policy describes this in more detail.

Other People’s Information

Using Billy often involves information about other people, such as your contacts, the people you email or meet with, and people Billy contacts for you. When you connect accounts or ask Billy to act, you confirm that you’re allowed to share that information with Billy and to have Billy use it for you, and that doing so doesn’t violate anyone’s rights or any law. Respect other people’s privacy when you use Billy.

In some places, you may need consent from another person before sharing information about them, so please be mindful of your local laws and respectful of what you reveal. You’re responsible for your Content and agree to hold us harmless if any issues arise from sharing it without proper permission.

Deleting Your Content

When you delete your account, we will delete your Content, subject to our standard backup and disaster recovery systems. We may keep some Content longer where technical limitations prevent deletion, or where retention is necessary to investigate illegal activity, protect our systems and users, comply with legal preservation obligations, or respond to judicial, administrative, law enforcement, or government requests. We keep that Content only as long as necessary for those purposes.

Using the Services

Account Registration

The Services are offered only to individuals who are at least 18 years old and can form legally binding contracts. By creating an account, you represent that you meet this requirement. You’ll need to give us accurate, complete and up-to-date registration information about yourself at all times.

If you’re under 18, please don’t try to register for the Services or send us any personal information about yourself. If we discover that someone under 18 has provided us with personal information, we’ll take steps to delete it promptly.

You can only use the Services for your own personal purposes—not for any third party’s benefit and not impersonating anyone. You can’t transfer or share your account or password with anyone else, and you need to keep them secure. You’re responsible for all activity on your account and with your account.

If you choose to sign up or log in using a third-party service (like Google or Facebook), we may receive information from that service such as your name, email address, and profile picture to create or authenticate your account. By using these login options, you authorize us to access and use this information in accordance with our Privacy Policy.

Third-Party Services

Billy works with apps, websites and services run by other companies (“Third-Party Services”), including ones you connect and sites Billy visits for you. We don’t control Third-Party Services and aren’t responsible for them. Their own terms and privacy policies apply to your use of them, and you’re responsible for following those terms when you connect them or ask Billy to use them. By connecting a Third-Party Service or directing Billy to one, you confirm you’re allowed to give Billy that access. Third-Party Services can change, limit or block Billy’s access at any time, so we don’t promise that any integration, feature or site will be available or will keep working. When a site asks for a human check, like a CAPTCHA, Billy will hand it to you to complete.

Rules for Using Billy

We want you to have a great experience using the Services, but there are some rules to follow. When you use the Services, you promise not to connect to a Third-Party Service or use the Services in ways that:

You also may not use Billy to: track, monitor or locate another person without their consent; impersonate anyone, or make someone believe they’re dealing with you personally when they’re dealing with Billy in a way meant to deceive them; harass, threaten or pressure anyone; access an account, device or system you’re not authorized to use; get around security measures, CAPTCHAs or access limits on any website or service; collect other people’s personal information in bulk; or manipulate markets or place trades based on information you’re not allowed to use. We may also publish an Acceptable Use Policy with more detailed rules, which is part of these Terms.

You may not share any Content that is illegal, harassing, threatening, harmful, or exploits or endangers any person in any way. Content containing nudity, sexual material, or that violates the terms of service of any third-party platform or social media service is strictly prohibited. You must ensure your use complies with the rules and policies of the platforms you use.

While we’re not obligated to monitor user activity or Content, we may do so for security purposes and to protect the safety of our users and others. We reserve the right to remove Content, suspend accounts, or report illegal activity to appropriate authorities if we discover violations of these rules.

If you violate any of these rules, we may terminate your right to use or access the Services immediately.

Health and Safety

If you connect health apps or devices, Billy may use that information to notice patterns, such as changes in your sleep or signs of stress, and make suggestions. These suggestions are general wellness information, not medical advice, diagnosis or treatment. Billy doesn’t monitor your health, can’t detect emergencies, and may be wrong. Talk to a qualified health professional about any health concern, and don’t delay getting care because of something Billy said or didn’t say.

The Services are not a medical device and are not designed for crisis intervention. If you believe you may harm yourself or others or are experiencing a medical or mental-health emergency, call 911 (U.S.) or your local emergency services immediately and discontinue use of the Services. If you believe someone is using the Services in a manner you believe is unsafe, harassing, or otherwise violates these Terms, please email support@billylives.com.

Term and Termination

These Terms start on the earlier of when you begin using the Services or when you register or activate your account with us.

You can delete your account at any time by logging into the Services and following the instructions in the settings.

We can also terminate or suspend your account at any time for any reason, including if you breach these Terms. After termination, certain provisions of these Terms will continue to apply. This includes any indemnification requirements you have, limitations on our liability, terms about ownership or intellectual property rights, and dispute resolution terms.

Fees

Billy is currently free to use. We may introduce paid plans or charge for some features in the future. If we do, we’ll tell you before any charges apply, and you won’t be charged unless you choose a paid plan and agree to its price and terms at that time.

Intellectual Property Rights

Music and Media

Billy can create music and edit songs, videos and other media for you. When you ask Billy to use media created by someone else, you’re responsible for having the right to use it, and edited versions are for your personal, non-commercial use unless you have the rights to do more. Don’t publish, distribute or sell media that uses other people’s work without their permission.

Our Services and Marks

We own and retain all rights, title, and interest in and to the Services (including all intellectual property rights). When you use the Services, except where we’ve specifically granted you permission, you may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or otherwise exploit the Services.

Billy™, The Billy Company™, and all related marks, logos, and user interface elements are trademarks owned exclusively by The Billy Company. You may not use, reproduce, or copy these trademarks without explicit written consent from Billy.

Feedback

If you send us feedback or suggestions about Billy, we may use, modify and incorporate them into our products and services for any purpose, without any obligation to you. We do appreciate your input!

If you believe content on the Services infringes your copyright, email us at support@billylives.com with a description of the copyrighted work, the location of the allegedly infringing material, and your contact information. Billy reserves the right to terminate accounts of repeat infringers.

Changes and Beta Features

Changes to the Services

We’re always working to improve Billy, so the Services may change from time to time. We might suspend or stop offering certain parts of the Services, add new features, set limits on features, or restrict access to some parts of the Services. When it’s practical, we’ll let you know about any material changes that might negatively affect you. We also reserve the right to throttle usage or implement rate limits as we deem reasonably necessary to maintain security, performance, and quality of service for all users.

Beta and Experimental Features

From time to time, we may offer beta or experimental features within the Services, whether called “Beta,” “Experimental,” or something else. You’ll have fun trying them out, but these features might only be available for a limited time and could change without letting you know first. They might work differently or have fewer features than our regular offerings. These beta/experimental features are provided at your own risk, which means we won’t be responsible for any bugs or unexpected things that happen when you use them.

Changes to these Terms

These Terms might need to change as we improve the Services. We can update the Terms at any time, and if we do, we’ll let you know by posting a notice on the Billy website, sending you an email, or notifying you another way. If you don’t agree to the updated Terms, you can stop using the Services at any time. We explain in our Privacy Policy how we handle your information after you stop using the Services, along with the licenses in these Terms.

If we make changes to these Terms and you continue using the Services after those changes take effect, that means you accept all the changes.

Disclaimers, Liability and Indemnity

No Promises

We provide the Services on an “as-is” basis. This means we don’t make any promises or guarantees about the Services, including that they’ll work perfectly, be suitable for your specific needs, won’t infringe on others’ rights, or will always be available without interruption. Some states don’t allow these kinds of disclaimers, so they may not apply to you.

BILLY MAKES NO GUARANTEE OF ANY PARTICULAR OUTCOME OR RESULT.

Output may inadvertently reflect biases present in the underlying training data. We encourage all users to exercise independent judgment when relying on Output.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL BILLY (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO BILLY IN CONNECTION WITH THE SERVICES IN THE 12 MONTHS PRECEDING THIS APPLICABLE CLAIM, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Indemnity

To the fullest extent allowed by applicable law, you agree to indemnify and hold Billy and its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third-party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations under these Terms).

General Terms

Entire Agreement

These Terms are the complete agreement between you and Billy, and they replace all previous agreements or understandings about the subject matter of these Terms. No third parties are intended to benefit from these Terms.

Assignment

You may not assign, delegate or transfer these Terms or your rights or obligations under these Terms, or your account, in any way (by operation of law or otherwise) without Billy’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations under these Terms without consent.

Notices

For any official notices:

Email us at: support@billylives.com

We’ll email you at the address you gave us when you signed up (or any new one you add to your settings).

Notices count as delivered when: sent by email, delivered in person or by overnight courier, or five (5) days after being sent by certified mail. Email works for all communications about the Services and updates to these Terms. Make sure to keep your email current in your settings so you get our messages.

Enforceability

If either of us doesn’t enforce a right, that doesn’t mean we’re giving it up. If any part of these Terms is found to be invalid or unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full effect.

Force Majeure

Billy won’t be liable or responsible for any failure or delay in performance of our obligations due to events beyond our reasonable control, including but not limited to outages, natural disasters, labor strikes, acts of terrorism, pandemics, internet service interruptions, or third-party service provider failures.

App Store Terms

The following terms apply to your use of the Services via the App Store operated by Apple, Inc. (“Apple”) or the Google Play Store operated by Google LLC or one of its affiliates (“Google”).

Apple App Store

In connection with your use of the Services via an App Store application (an “Apple Application”):

Google Play Store

By downloading an application for the Services from the Google Play Store (or its successors) operated by Google, you specifically acknowledge and agree that:

Dispute Resolution

Governing Law

These Terms and your use of the Services will be governed by California and United States law, without regard to conflict-of-law rules. You and Billy agree to submit to the courts in Orange County, California or the United States District Court for the Central District of California (the “Orange County Courts”) for any actions where either party seeks injunctive or other equitable relief to prevent infringement or violation of intellectual property rights.

Time Limit for Claims

To the extent the law allows, any claim either you or Billy has arising out of or relating to these Terms or the Services must be filed within one year after the claim arises. Otherwise, the claim is permanently barred.

Arbitration and Class Action Waiver

Please read this carefully. It affects your rights. YOU AND BILLY AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF, OR RELATING TO YOUR USE OF BILLY, TO ANY PRODUCTS OR SERVICES SOLD OR DISTRIBUTED BY OR THROUGH BILLY, TO THIS AGREEMENT, OR TO YOUR CONTENT SHALL BE RESOLVED ONLY BY FINAL AND BINDING, BILATERAL ARBITRATION, except that (1) you may assert claims in small claims court if your claims qualify; and (2) this agreement to arbitrate does not include your or Billy’s right to seek injunctive or other equitable relief in state or federal court in Orange County, California to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., and federal arbitration law apply to this agreement and govern all questions as to whether a dispute is subject to arbitration.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. An arbitrator, however, can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms.

“Disputes” shall include, but are not limited to, any claims or controversies between you and Billy against each other related in any way to or arising out of in any way from the Services, your Content, or your use of the Services, including but not limited to sales, returns, refunds, cancellations, defects, policies, privacy, advertising, or any communications between you and Billy, even if the claim arises after you or Billy has terminated the Services or a user account. Disputes also include, but are not limited to, claims that: (a) you bring against our employees, agents, affiliates, or other representatives; or (b) that Billy brings against you. Disputes also include, but are not limited to, (i) claims in any way related to or arising out of any aspect of the relationship between you and Billy, whether based in contract, tort, statute, fraud, misrepresentation, advertising claims, or any other legal theory; (ii) claims that arose before these Terms or out of a prior set of Terms with Billy; (iii) claims that are subject to on-going litigation where you are not a party or a class member; and/or (iv) claims that arise after the termination of these Terms.

Before initiating an arbitration, you and Billy each agree to first provide the other a written notice (“Notice of Dispute”), which shall contain: (a) a written description of the problem and relevant documents and supporting information; and (b) a statement of the specific relief sought. A Notice of Dispute should be emailed to support@billylives.com. Billy will provide a Notice of Dispute to you via the email address associated with your Billy account. You and Billy agree to make attempts to resolve the Dispute prior to commencing an arbitration and not to commence an arbitration proceeding until this 60-day post-notice resolution period expires. If an agreement cannot be reached within 60 days of receipt of the Notice of Dispute, you or Billy may commence an arbitration proceeding.

Unless you and Billy agree otherwise in writing, arbitration shall (1) be administered by the Judicial Arbitration and Mediation Services, Inc. (“JAMS”), pursuant to the JAMS Streamlined Arbitration Rules & Procedures then in effect (the “JAMS Rules”) and as modified by this agreement to arbitrate, including the rules regarding filing, administration, discovery, and arbitrator fees; (2) be conducted by a single, neutral arbitrator; and (3) take place in the county where you reside. To the extent that this agreement to arbitrate conflicts with the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards for Procedural Fairness (the “Minimum Standards”), the Minimum Standards in that regard will apply.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class or representative action. Further, unless both you and Billy expressly agree otherwise, the arbitrator may not consolidate more than one person’s claims. If this prohibition of class, representative, or consolidated arbitration is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

You can opt out of this agreement to arbitrate by emailing support@billylives.com within 30 days after you first accept these Terms. Your email must include your name, the email address associated with your Billy account, and a clear statement that you want to opt out of arbitration. If you opt out, the rest of these Terms still apply, and any Dispute will be resolved in the Orange County Courts.

Mass Arbitration

If seventy-five (75) or more similar demands for arbitration are filed against Billy by the same counsel or coordinated group of counsel within a 90-day period (“Mass Arbitration”), the following procedures shall apply: (a) the JAMS Mass Arbitration Procedures and Guidelines then in effect shall govern; (b) the parties shall select up to fifteen (15) individual demands to proceed as bellwether cases; (c) all other demands shall be stayed pending resolution of the bellwether cases; and (d) the results of the bellwether cases shall be used to facilitate good-faith settlement negotiations for the remaining demands. If a settlement is not reached within 60 days following the resolution of the bellwether cases, the remaining demands may proceed in accordance with the JAMS Mass Arbitration Procedures. Notwithstanding the foregoing, if a claimant’s demand has not been selected for a bellwether case or otherwise resolved within twelve (12) months after the Mass Arbitration is initiated, such claimant may elect to withdraw from arbitration and pursue its claims in a court of competent jurisdiction, subject to all other provisions of these Terms (including the class action waiver). Any applicable statute of limitations shall be tolled for all demands included in a Mass Arbitration from the date the Mass Arbitration is initiated until the earlier of (i) the date the demand is selected for a bellwether case, (ii) the date the demand is resolved through settlement, or (iii) the date the claimant elects to withdraw and proceed in court.

If, for any reason, a claim proceeds in court rather than in arbitration, we each waive our right to a jury trial.

YOU THEREFORE UNDERSTAND AND AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND BILLY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION FOR ANY CLAIMS COVERED BY THIS AGREEMENT.

The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.

The JAMS Rules are available on its website at https://www.jamsadr.com/rules-streamlined-arbitration/. Notwithstanding any JAMS Rules to the contrary or any other provision in the arbitration rules chosen, by agreement, to govern, you and Billy each agree that all issues regarding the Dispute are delegated to the arbitrator to decide, except that only a court (and not the arbitrator) shall decide any disagreements regarding the scope and enforceability of this agreement to arbitrate.

If your claim does not exceed $10,000, you and Billy agree to waive an oral hearing by the arbitrator and the arbitration will be conducted solely on the basis of documents you and Billy submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. To the extent an oral hearing is requested by you or Billy, or deemed necessary by the arbitrator, you and Billy agree that the hearing will be conducted telephonically or videographically.

An arbitrator’s award will be a written statement of the disposition of each claim and will also provide a concise written statement of the essential findings and conclusions which form the basis of the award. The arbitrator’s decision and award is final and binding, with some limited court review under the FAA, and judgment on the award may be entered in any court of competent jurisdiction.

It is each party’s responsibility to pay any JAMS filing, case management/administrative, and arbitrator fees as set forth in the JAMS Rules. If your claim for damages does not exceed $10,000, Billy will pay all such fees unless the arbitrator finds that either the substance of your Dispute or the relief sought was frivolous or was brought for an improper purpose (as measured by the standards set forth in the Federal Rule of Civil Procedure 11(b)).

As an alternative to arbitration, you or Billy may resolve Disputes in a small claims court that has jurisdiction over your claim. These Terms and this arbitration agreement do not prevent you from bringing your Dispute to the attention of any federal, state, or local government agency. Such agencies can, if the law allows, seek relief against Billy on your behalf.
